Terms of Service

These Terms of Service govern your use of the AvariHQ LLC website, software, subscriptions, digital products, professional services, managed services, and related offerings.

By accessing or using our website or purchasing an AvariHQ offering, you agree to these Terms.

Effective date: October 2, 2026

  1. AvariHQ Offerings

    AvariHQ LLC provides:

    • software subscriptions
    • digital products and Systems
    • implementation services
    • advisory and optimization services
    • managed services
    • related business-operation resources

    Software subscriptions, Systems, professional Services, and Managed Services are separate offerings unless explicitly stated otherwise.

  2. Eligibility and Account Responsibility

    You agree to provide accurate information when creating an account or purchasing a product or service.

    You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

  3. Acceptable Use

    You may not:

    • misuse the website or services
    • interfere with the operation or security of the website
    • attempt unauthorized access to accounts or systems
    • upload unlawful, infringing, or harmful material
    • use the services in violation of applicable law
    • use AvariHQ products or materials in a manner that infringes intellectual property rights

  4. Trial

    AvariHQ currently offers a 30-day free trial with no credit card required.

    The trial provides Business-level platform functionality for evaluation.

    Available functionality after the trial depends on the paid plan selected.

    Optional Add-Ons, additional AI capacity, hosted video capacity, implementation Services, and Managed Services are not automatically included.

    A free trial does not automatically convert to a paid subscription unless AvariHQ LLC later implements and clearly discloses such a process.

  5. Purchases and Billing

    Some offerings are sold as:

    • recurring subscriptions
    • one-time purchases
    • milestone-based service engagements
    • recurring Managed Services

    By purchasing an offering, you agree to provide accurate billing information and authorize applicable charges according to the terms presented at purchase.

  6. Software Subscriptions

    Software subscriptions renew according to the billing terms presented at checkout unless canceled before the next renewal.

    If a monthly subscription is canceled, access remains available through the end of the current paid billing period.

  7. Digital Products

    Digital products are licensed for the purchaser's internal business use unless otherwise stated.

    You may not resell, redistribute, reproduce, publish, or publicly share AvariHQ digital products except where expressly permitted.

  8. Professional Services

    Launch, Build, Migration, System Review, Optimization, and similar professional Services may be governed by a proposal, statement of work, checkout terms, or other written scope.

    The applicable scope may define:

    • deliverables
    • milestones
    • client responsibilities
    • timing
    • payment schedule
    • dependencies
    • change requests

  9. Managed Services

    Managed Services are recurring service engagements separate from the AvariHQ software subscription unless explicitly stated otherwise.

  10. Customer Content

    You retain ownership of content you provide to AvariHQ LLC.

    You grant AvariHQ LLC the limited rights reasonably necessary to process, host, or use that content to provide the purchased services.

  11. Intellectual Property

    AvariHQ branding, website content, software-related materials, Systems, guides, templates, graphics, written materials, and service materials remain the property of AvariHQ LLC or its licensors unless expressly stated otherwise.

  12. Third-Party Services

    Some AvariHQ functionality may depend on third-party infrastructure, payment providers, hosting providers, or other services.

    AvariHQ LLC does not control every third-party service and is not responsible for third-party outages, changes, or terms.

  13. Availability and Changes

    We may update, modify, improve, or discontinue portions of our website or offerings from time to time.

    Where commercially reasonable, we will endeavor to communicate material changes affecting paid services.

  14. Disclaimer

    Except where expressly stated in a written agreement, AvariHQ offerings are provided on an “as is” and “as available” basis to the maximum extent permitted by law.

  15. Limitation of Liability

    To the maximum extent permitted by applicable law, AvariHQ LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from use of the website, products, or services.

  16. Suspension and Termination

    AvariHQ LLC may suspend or terminate access when necessary to:

    • address a violation of these Terms
    • protect users or systems
    • prevent unlawful or abusive use
    • address unpaid amounts where applicable
    • comply with legal obligations

  17. Governing Law

    These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

  18. Changes to These Terms

    We may update these Terms from time to time.

    Updated Terms will be posted on this page with a revised effective date.
